JOYRIDE TERMS OF SERVICE

Effective Date: September 20, 2026

These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement between you and JoyRide ("JoyRide," "we," "us," or "our") governing your access to and use of JoyRide's website, mobile applications, technology, marketplace, services, and related products (collectively, the "Platform").

By creating an account, accessing the Platform, listing a vehicle, requesting or making a reservation, completing a booking, participating in a vehicle transaction, or otherwise using any portion of the Platform, you acknowledge that you have read, understood, and agreed to these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS CONCERNING INSURANCE, VEHICLE DAMAGE, LIABILITY, DISPUTE RESOLUTION, ARBITRATION, CLASS-ACTION WAIVERS, AND YOUR LEGAL RIGHTS.

If you do not agree to these Terms, you may not access or use the Platform.

These Terms include and incorporate by reference JoyRide's Privacy Policy, applicable vehicle listing requirements, cancellation policies, protection-plan terms, payment terms, and other rules and policies that JoyRide may publish or present to you in connection with the Platform.

1. ABOUT JOYRIDE

1.1 JoyRide Is a Marketplace

JoyRide operates an online marketplace that facilitates connections between people who make eligible vehicles available for temporary use ("Hosts") and people who seek to use those vehicles ("Guests").

JoyRide does not generally own the vehicles listed on the Platform.

Except where expressly stated otherwise, JoyRide does not take possession of, maintain, repair, operate, or control vehicles listed by Hosts.

JoyRide provides technology and marketplace services that may allow users to:

  • create accounts;
  • list vehicles;
  • search for vehicles;
  • communicate with other users;
  • request and confirm reservations;
  • process payments;
  • process Host payouts;
  • verify identities and driver's licenses;
  • conduct driving-record checks;
  • facilitate insurance and protection products;
  • facilitate claims;
  • provide customer support;
  • collect vehicle-condition documentation;
  • provide location-related services;
  • facilitate reviews and ratings; and
  • perform other services related to vehicle sharing.

1.2 JoyRide Is Not the Owner of Every Vehicle

Unless expressly stated otherwise, JoyRide is not the owner of the vehicle you reserve.

The Host remains responsible for ownership, lawful possession, registration, maintenance, condition, safety, and legal eligibility of the vehicle except to the extent JoyRide expressly assumes a responsibility under these Terms or applicable law.

1.3 JoyRide Is Not a Traditional Rental-Car Company

JoyRide is not intended to operate as a traditional vehicle rental company.

A Guest generally enters into a vehicle-sharing transaction involving the Guest, the Host, JoyRide's marketplace services, and applicable insurance or protection arrangements.

Nothing in these Terms creates a traditional landlord-tenant relationship, employment relationship, franchise relationship, joint venture, partnership, agency relationship, or fiduciary relationship between JoyRide and a Host or Guest unless expressly stated otherwise.

1.4 JoyRide Is Not an Insurer

JoyRide is not itself an insurance company.

Where JoyRide makes insurance or protection coverage available, that coverage is provided through an applicable insurance carrier, protection program, policy, endorsement, or other arrangement identified to the user.

The applicable insurance policy and its terms, conditions, exclusions, limits, definitions, and claims procedures control the availability and scope of insurance coverage.

A Guest's purchase of a JoyRide protection product does not mean that every type of loss, damage, injury, expense, or claim will be covered.

1.5 JoyRide Is Not a Carrier

JoyRide is not a transportation carrier merely because its Platform facilitates vehicle access.

JoyRide does not employ Guests to drive vehicles and does not generally provide transportation services.

JoyRide does not guarantee that a Host, Guest, vehicle, reservation, or transportation arrangement will be available, safe, suitable, lawful, or uninterrupted.

1.6 No Guarantee Regarding Users

JoyRide may conduct identity verification, driver's-license verification, driving-record checks, fraud screening, and other screening processes.

These processes do not guarantee that a person is trustworthy, safe, qualified, financially responsible, or suitable to participate in a transaction.

Users remain responsible for exercising appropriate judgment.

Guests must generally be at least 18 years old.

Guests under the age of 25 may be subject to an applicable young-driver fee or additional restrictions.

Certain Vehicles may have higher minimum-age requirements.

JoyRide may establish different age requirements based on:

  • Vehicle type;

  • licensing restrictions;
  • vehicle value; or
  • other legitimate safety or underwriting considerations.

You must possess a valid driver's license that authorizes you to operate the applicable Vehicle.

International drivers may participate if they possess documentation legally authorizing them to drive the applicable Vehicle in the jurisdiction where the Vehicle is operated.

JoyRide may require:

  • a valid foreign driver's license;
  • an international driving permit;
  • passport;
  • visa or immigration documentation;
  • additional identification;
  • proof of legal driving authorization; or
  • other documentation.

3.3 Accurate Information

You must provide accurate, complete, current, and truthful information.

You may not:

  • impersonate another person;
  • use another person's driver's license;
  • use another person's Account;
  • create multiple Accounts to circumvent restrictions;
  • falsify your age;
  • falsify your address;
  • falsify driving history;
  • falsify vehicle information;
  • conceal material information; or
  • otherwise misrepresent yourself.

3.4 Driving Record

JoyRide may conduct motor-vehicle-record checks and other legally permissible screening.

JoyRide may deny, suspend, restrict, or terminate access based on driving history or other eligibility criteria.

Examples of potentially disqualifying conduct include:

  • suspended or revoked licenses;
  • excessive recent violations;
  • serious traffic offenses;
  • reckless driving;
  • driving under the influence;
  • hit-and-run;
  • repeated at-fault accidents;
  • fraudulent license activity; or
  • other driving-related conduct that JoyRide or its insurance partners reasonably determine creates unacceptable risk.

JoyRide may establish different standards for different Vehicle categories.

3.5 Criminal History

Where legally permitted, JoyRide may consider criminal-history information as part of safety, fraud, identity, or risk screening.

JoyRide may apply restrictions or deny participation where permitted by applicable law.

JoyRide does not guarantee that any screening process will identify every relevant record.

4. IDENTITY VERIFICATION

4.1 Verification

JoyRide may require users to verify their identities before:

  • creating an Account;
  • listing a Vehicle;
  • making a Reservation;
  • operating a Vehicle;
  • receiving a Host payout; or
  • continuing to use the Platform.

Verification may involve third-party providers, including identity-verification providers.

  • legal name;
  • date of birth;

  • other information reasonably necessary to verify identity and eligibility.

4.3 Stripe Identity

JoyRide may use Stripe and Stripe Identity or related Stripe services to facilitate identity verification and payment-related services.

Use of third-party services may be subject to those providers' separate terms and privacy practices.

4.4 Failure to Verify

If you fail identity verification, provide inconsistent information, refuse a required verification process, or otherwise cannot establish eligibility, JoyRide may:

  • deny a Reservation;
  • cancel a Reservation;
  • restrict your Account;
  • delay a payout;
  • suspend your Account;
  • terminate your Account; or
  • take other lawful measures.

5. HOST REQUIREMENTS

5.1 Host Eligibility

A Host must:

  • have lawful authority to list the Vehicle;
  • provide accurate Vehicle information;
  • maintain the Vehicle in safe operating condition;
  • comply with applicable registration requirements;

5.2 Ownership or Authorization

A Host may list only a Vehicle that the Host owns or is legally authorized to make available for sharing.

If a Vehicle is financed, leased, jointly owned, subject to a lien, or otherwise subject to third-party rights, the Host is responsible for ensuring that listing the Vehicle through JoyRide is permitted.

The Host is solely responsible for obtaining any required permission.

5.3 Host Insurance

JoyRide may require Hosts to maintain personal or commercial automobile insurance outside of the Car-Sharing Period where required by law, the applicable insurance policy, financing agreement, lease, or JoyRide policy.

A Host should not assume that personal automobile insurance covers vehicle sharing.

A Host's personal automobile insurer may exclude coverage for a Vehicle used for rental, sharing, hire, or business purposes.

6. VEHICLE ELIGIBILITY

6.1 Eligible Vehicle Types

Subject to JoyRide approval, eligible Vehicles may include:

  • passenger cars;
  • SUVs;
  • pickup trucks;
  • vans;
  • luxury vehicles;
  • electric vehicles;
  • motorcycles; and
  • other categories approved by JoyRide.

Commercial vehicles are generally not eligible unless JoyRide expressly approves them.

6.2 Age and Mileage

Unless JoyRide approves an exception, Vehicles generally must:

  • be no more than 20 model years old; and
  • have no more than 150,000 miles at the time of listing.

JoyRide may establish lower or different thresholds for specific Vehicle categories.

6.3 Salvage and Rebuilt Titles

Vehicles with salvage, rebuilt, reconstructed, flood, lemon-law, or other branded titles may be eligible only if:

  1. JoyRide expressly approves the Vehicle;
  2. the Host fully discloses the title status;
  3. the Vehicle satisfies applicable safety requirements;
  4. the Vehicle is legally registered and operable;
  5. applicable insurance coverage is available; and
  6. JoyRide determines that the Vehicle may appropriately be offered through the Platform.

JoyRide may prohibit any particular branded-title Vehicle at its discretion.

6.4 Inspections

JoyRide may inspect or require inspection of any Vehicle before or after listing.

Inspection may include:

  • mechanical inspection;
  • safety inspection;
  • tire inspection;
  • brake inspection;
  • lighting inspection;
  • registration verification;
  • title verification;
  • recall verification; and
  • other safety checks.

Inspection does not constitute a guarantee that a Vehicle is safe or mechanically perfect.

7. SAFETY RECALLS

A Host may not knowingly make a Vehicle available through JoyRide when the Vehicle is subject to an unrepaired safety recall that makes sharing prohibited or unsafe.

A Host must promptly notify JoyRide if the Host receives notice of a safety recall affecting a listed Vehicle.

JoyRide may immediately remove, suspend, or disable the Vehicle until the recall has been addressed.

JoyRide may independently check publicly available recall information and may suspend Vehicles when appropriate.

8. VEHICLE CONDITION AND MAINTENANCE

Hosts are responsible for maintaining Vehicles in safe, roadworthy condition.

Hosts must perform appropriate:

  • oil and fluid maintenance;
  • tire maintenance;
  • brake maintenance;
  • inspections;
  • registration;
  • emissions compliance;
  • recall repairs;
  • safety repairs;
  • manufacturer-required maintenance; and
  • other necessary maintenance.

Hosts must not knowingly list a Vehicle with a material mechanical or safety defect.

9. VEHICLE LISTINGS

Hosts must provide accurate information concerning:

  • make;
  • model;
  • year;

  • Vehicle features;
  • fuel type;
  • charging requirements;
  • transmission;
  • seating capacity;
  • restrictions;
  • photographs;
  • condition; and
  • other material information.

Hosts may not materially misrepresent a Vehicle.

JoyRide may correct, remove, restrict, or suspend inaccurate listings.

10. GUEST RESPONSIBILITIES

Guests must:

  • use Vehicles responsibly;
  • comply with traffic laws;
  • follow applicable Vehicle instructions;
  • use the Vehicle only for permitted purposes;

11. ADDITIONAL DRIVERS

A Guest may not allow another person to operate a Vehicle unless that person has been:

  1. disclosed to JoyRide;
  2. approved by JoyRide;
  3. properly licensed;
  4. properly verified where required; and
  5. added to the Reservation where required.

Additional drivers may be subject to an additional-driver fee.

The primary Guest remains responsible for ensuring that all authorized drivers comply with these Terms.

Allowing an unauthorized driver to operate a Vehicle may result in loss of applicable protection, cancellation, Account suspension, and financial responsibility for resulting losses to the extent permitted by law and applicable insurance terms.

12. RESERVATIONS

12.1 Booking

A Reservation becomes effective when JoyRide confirms the Reservation through the Platform.

A Reservation may not be considered confirmed merely because a Guest submits a request or begins checkout.

12.2 Reservation Information

The Guest is responsible for reviewing:

  • Vehicle;
  • pickup location;
  • return location;
  • reservation dates;
  • reservation times;
  • mileage rules;
  • fees;
  • protection-plan terms;
  • cancellation terms;

  • other applicable booking information.

12.3 Reservation Changes

  • with required fuel/charge;
  • without personal belongings;
  • without unauthorized modifications; and
  • in compliance with applicable return instructions.

16. LATE RETURNS

A Guest must request an extension through JoyRide whenever possible.

A Guest may not assume that continued possession is authorized merely because a Host has not immediately requested return.

Late returns may result in:

  • additional rental charges;
  • late-return fees;
  • additional service fees;
  • loss of protection;
  • towing or recovery charges;
  • costs associated with another Guest's cancelled Reservation;
  • other reasonable charges resulting from the late return.

JoyRide may report an unreturned Vehicle to law enforcement where appropriate.

17. PROHIBITED USES

Unless expressly approved in writing by JoyRide and permitted by the applicable insurance and Vehicle terms, Guests may not use a Vehicle for:

18. DRIVING UNDER THE INFLUENCE

Operating a Vehicle while impaired by alcohol, cannabis, controlled substances, medication, or any other substance that may impair safe driving is strictly prohibited.

A Guest who violates this rule may lose access to applicable protection products to the extent permitted by their terms and applicable law and may be responsible for resulting losses.

JoyRide may cooperate with law enforcement and insurers regarding suspected impaired driving.

19. SMOKING AND VAPING

Smoking and vaping are prohibited in Vehicles unless the specific Vehicle listing expressly permits them.

Guests may be charged reasonable cleaning, restoration, deodorization, or remediation costs resulting from prohibited smoking or vaping.

20. PETS AND ANIMALS

Pets and animals may be prohibited depending on the Vehicle and Host.

Service animals will be handled in accordance with applicable law.

Guests remain responsible for damage, excessive cleaning, or other losses caused by animals to the extent permitted by law.

JoyRide may charge the Guest for:

  • tolls;
  • parking;
  • tickets;
  • citations;
  • administrative processing;
  • impound fees;
  • late penalties;
  • collection costs; and
  • other reasonable expenses.

Guests must not contest or resolve a citation in a manner that falsely identifies another person as the driver.

23. ACCIDENTS

23.1 Immediate Safety

Following an accident, Guests must first take reasonable steps to protect themselves and others.

Where appropriate, Guests should:

  • call emergency services;
  • seek medical attention;
  • move to a safe location when lawful and safe;
  • contact law enforcement;
  • exchange required information;
  • document the scene; and
  • notify JoyRide.

23.2 JoyRide Notification

Guests must report accidents, collisions, theft, vandalism, significant damage, mechanical failures, and other material incidents to JoyRide as soon as reasonably practicable.

23.3 Documentation

Guests should provide:

  • photographs;
  • videos;
  • police reports;
  • witness information;
  • insurance information;
  • location information;
  • descriptions of events;
  • damage information;
  • medical information where reasonably necessary for a claim; and
  • other relevant documentation.

23.4 No Admission of Liability

Guests should not admit fault or liability on behalf of themselves, JoyRide, a Host, or an insurer.

Nothing in this provision prevents a person from making truthful statements to law enforcement, emergency personnel, insurers, or other legally authorized parties.

Guests and Hosts must reasonably cooperate with:

  • insurers;
  • claims administrators;
  • law enforcement;
  • JoyRide;

25. INSURANCE

25.1 JoyRide Car-Sharing Insurance

During an applicable Car-Sharing Period, JoyRide will facilitate or provide the insurance coverage required under applicable law through an applicable insurance program or carrier.

The exact insurance limits and coverage applicable to a Reservation will be disclosed through the Platform and applicable protection/insurance documentation.

For Georgia car-sharing transactions, the coverage provided through the program will satisfy applicable statutory minimum requirements and will be no less than the applicable minimum amounts required by Georgia law, subject to the terms and conditions of the applicable policy.

Georgia law currently requires minimum liability limits of $25,000 per person/$50,000 per accident for bodily injury and $25,000 for property damage.

25.2 Higher Limits

Where the applicable jurisdiction requires higher financial-responsibility limits, the applicable insurance arrangement will provide coverage consistent with applicable law and the governing policy.

25.3 Primary Coverage

Where JoyRide's insurance is the coverage satisfying the applicable car-sharing insurance requirement, that coverage may operate as primary coverage during the applicable Car-Sharing Period as required by applicable law.

25.4 Proof of Insurance

Guests may be required to carry or maintain electronic or physical proof of applicable coverage during the Car-Sharing Period.

25.5 Personal Insurance

Guests are not generally required to maintain separate personal automobile insurance solely to use JoyRide, unless:

  • applicable law requires it;
  • the applicable insurance program requires it;
  • the specific Reservation requires it;
  • the Vehicle requires it;
  • the Guest's eligibility conditions require it; or
  • JoyRide expressly states otherwise before the Reservation.

Any such requirement will be disclosed where reasonably practicable.

25.6 Coverage Outside the Car-Sharing Period

JoyRide's car-sharing insurance or protection generally applies only during the applicable Car-Sharing Period and subject to the applicable policy.

A Guest must not assume that JoyRide coverage applies:

  • before the Reservation begins;
  • after the Reservation ends;
  • during unauthorized use;
  • while an unauthorized driver is operating the Vehicle;
  • after cancellation;
  • after termination;
  • while the Vehicle is used for prohibited purposes; or
  • in any other circumstance excluded by the applicable policy.

Georgia law expressly requires car-sharing agreements to disclose that program insurance may be limited to the Car-Sharing Period and may not apply to post-termination use or unauthorized drivers.

25.7 Insurance Policy Controls

These Terms do not modify, expand, replace, or supersede an applicable insurance policy.

If there is a conflict between these Terms and an insurance policy concerning the scope of insurance coverage, the applicable insurance policy controls with respect to insurance coverage.

26. PROTECTION PLANS

26.1 Protection Plan Purchase

JoyRide may offer Guests one or more protection options during checkout.

A protection product may be required for certain Reservations.

26.2 Protection Is Not Insurance

A protection plan may be a contractual protection product and is not necessarily itself an insurance policy.

The applicable protection-plan terms will identify the benefits, exclusions, limitations, responsibilities, and claim procedures.

26.3 Exclusions

Protection may not apply to losses arising from prohibited conduct, unauthorized drivers, fraud, intentional damage, reckless conduct, intoxication, racing, off-road use, or other excluded circumstances.

26.4 No Guarantee of Coverage

Purchasing a protection plan does not guarantee that a claim will be paid.

27. DAMAGE TO VEHICLES

27.1 Guest Responsibility

A Guest may be financially responsible for physical damage, loss, theft, or other harm caused by the Guest's conduct, subject to:

  • applicable insurance;
  • applicable protection-plan terms;
  • applicable law;
  • causation;
  • exclusions;
  • coverage limits; and
  • the circumstances of the loss.

27.2 Pre-Existing Damage

Guests are not responsible for legitimate pre-existing damage that did not occur during their use.

JoyRide may use photographs, timestamps, inspection records, messages, telematics where applicable, and other evidence to determine whether damage occurred during a Trip.

27.3 Claims

JoyRide may facilitate claims involving:

  • Hosts;
  • Guests;
  • insurers;
  • third-party claimants; and
  • other affected parties.

28. KEYS AND ACCESS DEVICES

Guests are responsible for keys, key fobs, access devices, and similar equipment entrusted to them.

Guests may be charged for:

  • lost keys;
  • replacement keys;
  • replacement fobs;
  • reprogramming;
  • towing;
  • locksmith services; and
  • related reasonable expenses.

29. CLEANING AND CONDITION FEES

Guests may be responsible for reasonable costs associated with:

  • excessive cleaning;
  • smoke odor;
  • stains;
  • spills;
  • bodily-fluid contamination;
  • pet-related damage;
  • trash;
  • damage to interior components;
  • unauthorized modifications; and
  • other abnormal conditions.

30. PAYMENTS

30.1 Payment Processor

JoyRide uses Stripe and related Stripe services to process payments, payouts, identity verification, and other financial transactions.

Stripe may process payment information pursuant to its own terms and policies.

30.2 Guest Charges

A Guest may be charged:

  • Vehicle charges;
  • JoyRide Service Fees;
  • protection-plan fees;
  • young-driver fees;
  • additional-driver fees;
  • taxes;
  • delivery fees;
  • mileage fees;
  • fuel charges;
  • charging charges;
  • tolls;
  • parking;
  • traffic violations;
  • cleaning charges;
  • damage charges;
  • late fees;
  • cancellation fees; and
  • other disclosed charges.

30.3 Authorization

By submitting a payment method, you authorize JoyRide and its payment processors to charge applicable amounts arising from your use of the Platform and your obligations under these Terms.

30.4 Additional Charges

Where reasonably necessary, JoyRide may charge an authorized payment method after a Reservation for amounts arising from:

  • tolls;
  • tickets;
  • damage;
  • cleaning;
  • fuel;
  • charging;
  • late return;
  • lost keys;
  • other documented Trip-related expenses.

31. SECURITY DEPOSIT

Unless a listing expressly discloses a different amount, each Instant Book Reservation includes a $250 refundable security deposit charged as part of the trip payment (not a separate card authorization hold).

JoyRide holds the deposit on the platform ledger and generally releases unused deposit amounts after the trip ends, subject to claims, damage, excess mileage, cleaning, or other amounts owed under these Terms. Applied deposit amounts are not a penalty and do not limit JoyRide’s or a Host’s right to recover additional amounts owed.

Checkout discloses the deposit before you pay. The absence of a larger deposit does not eliminate a Guest's responsibility for amounts owed under these Terms.

32. HOST PAYOUTS

32.1 Payouts

JoyRide may facilitate Host payouts through Stripe.

Payout timing may depend on:

  • completion of a Reservation;
  • payment processing;
  • fraud screening;
  • claims;
  • chargebacks;
  • applicable banking processes;
  • verification;
  • disputes; and
  • other legitimate circumstances.

32.2 Payout Holds

JoyRide may delay, hold, offset, or adjust a payout where reasonably necessary to:

  • investigate fraud;
  • address chargebacks;
  • resolve claims;
  • comply with law;
  • comply with an insurance process;
  • recover amounts owed by a Host;
  • verify identity;
  • protect users; or
  • address payment-processing issues.

32.3 Host Fees

JoyRide may deduct applicable Service Fees, processing charges, refunds, adjustments, taxes, and other amounts disclosed to the Host.

33. TAXES

Users are responsible for taxes applicable to their activities on the Platform unless applicable law requires JoyRide or another party to collect and remit them.

JoyRide may collect taxes, fees, or assessments where legally required.

Hosts are responsible for determining their own tax obligations arising from income received through JoyRide.

34. CHARGEBACKS

Guests must not initiate a fraudulent or improper chargeback to avoid valid charges.

Before initiating a chargeback, users should contact JoyRide and attempt to resolve the issue through the available support process.

Nothing prohibits a consumer from exercising lawful rights under applicable payment-network or consumer-protection rules.

JoyRide may suspend an Account while investigating a disputed payment.

35. CANCELLATIONS

35.1 Guest Cancellation

Guest cancellation refunds depend on:

  • the applicable cancellation policy;
  • timing of cancellation;
  • Reservation status;
  • Vehicle;
  • Host policy;
  • protection-plan terms;
  • circumstances of cancellation; and
  • applicable law.

The applicable cancellation policy presented at booking forms part of the Reservation agreement.

35.2 Host Cancellation

Hosts should not cancel confirmed Reservations except where necessary.

Host cancellations may result in:

  • fees;
  • reduced Host standing;
  • temporary listing restrictions;
  • Account restrictions;
  • reimbursement obligations;
  • loss of certain privileges; or
  • other consequences.

35.3 Vehicle Unavailable

If a Vehicle becomes unavailable before a Reservation, JoyRide may:

  • cancel the Reservation;
  • provide a full refund;
  • provide a partial refund;
  • attempt to relocate the Guest;
  • offer another Vehicle;
  • provide a credit where appropriate; or
  • provide another reasonable remedy.

35.4 No-Show

A Guest who fails to appear for a Reservation may be subject to the applicable cancellation or no-show policy.

35.5 Emergency Cancellation

JoyRide may provide exceptions where circumstances outside a user's reasonable control make performance impossible or unsafe.

Examples may include:

  • natural disasters;
  • declared emergencies;
  • severe weather;
  • government restrictions;
  • road closures;
  • significant transportation disruptions;
  • Vehicle safety recalls;
  • serious mechanical failures;
  • death or serious medical emergency; or
  • other extraordinary circumstances.

JoyRide determines the applicable remedy based on the circumstances and available evidence, subject to applicable law.

36. HOST CANCELLATION PROTECTION

If a Host cancels because of a legitimate emergency, JoyRide may waive or reduce cancellation consequences where appropriate.

However, repeated cancellations may result in removal from the Platform even where individual penalties are waived.

37. WEATHER AND NATURAL DISASTERS

JoyRide does not guarantee that Reservations will remain possible during severe weather or natural disasters.

Guests and Hosts are responsible for acting reasonably to protect human safety.

JoyRide may cancel, modify, suspend, or relocate Reservations where reasonably necessary for safety, legal compliance, insurance, or operational reasons.

38. REVIEWS AND RATINGS

Users may submit reviews and ratings.

Reviews must be:

  • truthful;
  • relevant;
  • based on actual experience;
  • non-defamatory;
  • non-threatening;
  • non-discriminatory;
  • non-fraudulent; and
  • free of unlawful content.

Users may not manipulate reviews by:

  • creating fake Accounts;
  • paying for reviews;
  • threatening another user;
  • exchanging benefits for favorable reviews;
  • posting reviews for transactions that did not occur; or
  • otherwise manipulating the rating system.

JoyRide may remove reviews that violate its policies or applicable law.

39. USER CONTENT

By submitting User Content to JoyRide, you grant JoyRide a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, distribute, and use that content as reasonably necessary to operate, improve, market, promote, and provide the Platform.

This license does not transfer ownership of your User Content to JoyRide.

You retain ownership of your original User Content subject to the rights granted above.

40. USER CONTENT REPRESENTATIONS

You represent that:

  • you own or have the necessary rights to submit your content;
  • the content is accurate;
  • the content does not violate another person's rights;
  • the content does not infringe intellectual property rights;
  • the content does not contain unlawful material; and
  • JoyRide's permitted use of the content will not violate applicable law.

41. MESSAGES

JoyRide may provide messaging functionality.

Users must not use JoyRide messaging to:

  • harass;
  • threaten;
  • defraud;
  • discriminate;
  • solicit illegal activity;
  • bypass JoyRide fees;
  • arrange prohibited transactions;
  • exchange unlawful material; or
  • circumvent Platform safety systems.

JoyRide may monitor or review communications to the extent permitted by law and its Privacy Policy for safety, fraud prevention, customer support, dispute resolution, and Platform operation.

42. LOCATION INFORMATION

JoyRide may collect and process location information associated with:

  • Guests;
  • Hosts;
  • Vehicles;
  • mobile devices;
  • reservations; and
  • Platform activity.

Location information may be used to:

  • facilitate reservations;
  • identify pickup and return locations;
  • detect fraud;
  • investigate theft;
  • investigate damage;
  • provide customer support;
  • enforce geographic restrictions;
  • protect users;
  • comply with law;
  • investigate disputes; and
  • operate the Platform.

JoyRide will handle personal information according to its Privacy Policy.

43. GPS AND TRACKING TECHNOLOGY

Where JoyRide or a Host uses GPS or approved location technology in connection with a Vehicle, users acknowledge that location information may be collected during applicable periods.

JoyRide will not represent that tracking technology is infallible.

Tracking may fail because of:

  • cellular coverage;
  • device malfunction;
  • battery failure;
  • signal interruption;
  • tampering;
  • technical errors; or
  • other circumstances.

Georgia law specifically addresses equipment such as GPS devices used to facilitate or monitor car-sharing transactions and allocates certain responsibilities concerning that equipment.

44. DATA COLLECTION

JoyRide may collect:

  • name;
  • email;
  • telephone number;
  • address;
  • driver's-license information;
  • identity documents;
  • selfie images;
  • verification information;
  • driving-record information;
  • payment information;
  • Vehicle information;
  • VIN;
  • photographs;
  • location information;
  • device information;
  • IP address;
  • usage information;
  • cookies;
  • analytics information;
  • communications;
  • transaction information;
  • reviews;
  • ratings; and
  • other information described in the Privacy Policy.

45. BIOMETRIC AND IDENTITY INFORMATION

Where JoyRide or its service providers use facial comparison, biometric identifiers, or similar technologies, JoyRide will handle such information according to applicable law and the applicable Privacy Policy and consent process.

JoyRide may use identity information to:

  • verify identity;
  • prevent fraud;
  • prevent account takeover;
  • confirm driver eligibility;
  • comply with law;
  • facilitate insurance;
  • protect users; and
  • enforce Platform rules.

46. PRIVACY

JoyRide's Privacy Policy describes how JoyRide collects, uses, stores, discloses, and protects personal information.

The Privacy Policy is incorporated into these Terms by reference.

47. THIRD-PARTY SERVICES

JoyRide may use third-party providers including:

  • Stripe;
  • Stripe Identity;
  • identity-verification providers;
  • payment processors;
  • insurance providers;
  • analytics providers;
  • messaging providers;
  • fraud-detection providers;
  • cloud-hosting providers;
  • mapping providers;
  • customer-support providers; and
  • other service providers.

Third-party services may have their own terms and privacy policies.

JoyRide is not responsible for the independent acts or omissions of third-party providers except to the extent required by applicable law.

48. INTELLECTUAL PROPERTY

The Platform, including its software, design, branding, trademarks, logos, text, graphics, interfaces, databases, and other proprietary materials, belongs to JoyRide or its licensors.

Except as expressly permitted, users may not:

  • copy;
  • modify;
  • reproduce;
  • reverse engineer;
  • scrape;
  • distribute;
  • sell;
  • sublicense;
  • create derivative works from;
  • interfere with; or
  • commercially exploit

JoyRide's proprietary Platform materials.

49. MOBILE APPLICATION LICENSE

Subject to these Terms, JoyRide grants you a limited, non-exclusive, non-transferable, revocable license to use the JoyRide mobile application for its intended purpose.

You may not:

  • reverse engineer the app;
  • bypass security measures;
  • interfere with operation;
  • distribute modified versions;
  • extract source code;
  • use automated systems to access the Platform without authorization; or
  • use the app for unlawful purposes.

50. PROHIBITED ACCOUNT ACTIVITY

You may not:

  • create fraudulent Accounts;
  • create multiple Accounts to evade restrictions;
  • use another person's Account;
  • sell your Account;
  • transfer your Account;
  • falsify information;
  • circumvent verification;
  • manipulate pricing;
  • manipulate reviews;
  • circumvent fees;
  • commit fraud;
  • conduct payment fraud;
  • use stolen payment information;
  • interfere with the Platform;
  • introduce malware;
  • scrape data without authorization;
  • attack JoyRide systems;
  • reverse engineer the Platform;
  • exploit security vulnerabilities without authorization; or
  • engage in unlawful conduct.

51. ACCOUNT SUSPENSION AND TERMINATION

JoyRide may suspend, restrict, or terminate an Account where reasonably necessary to:

  • enforce these Terms;
  • prevent fraud;
  • protect users;
  • address safety concerns;
  • investigate misconduct;
  • comply with law;
  • respond to insurance requirements;
  • investigate payment issues;
  • prevent unauthorized Vehicle use;
  • protect JoyRide; or
  • maintain Platform integrity.

Where appropriate, JoyRide may provide notice and an opportunity to resolve the issue.

52. EFFECT OF TERMINATION

Upon termination:

  • your right to use the Platform ends;
  • pending Reservations may be cancelled;
  • unpaid amounts remain due;
  • applicable claims may continue;
  • confidentiality obligations continue where applicable;
  • intellectual-property provisions survive;
  • indemnification provisions survive;
  • liability limitations survive;
  • dispute-resolution provisions survive; and
  • other provisions intended to survive termination remain effective.

53. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

JOYRIDE DOES NOT GUARANTEE THAT:

  • THE PLATFORM WILL ALWAYS BE AVAILABLE;
  • A PARTICULAR VEHICLE WILL BE AVAILABLE;
  • A VEHICLE WILL BE SAFE OR ERROR-FREE;
  • A HOST OR GUEST WILL ACT LAWFULLY;
  • A RESERVATION WILL OCCUR WITHOUT INTERRUPTION;
  • A VEHICLE WILL BE MECHANICALLY PERFECT;
  • INFORMATION PROVIDED BY USERS WILL BE ACCURATE;
  • INSURANCE WILL COVER A PARTICULAR CLAIM;
  • A PROTECTION PLAN WILL COVER A PARTICULAR LOSS;
  • THE PLATFORM WILL BE FREE OF ERRORS;
  • THE PLATFORM WILL BE SECURE FROM EVERY POSSIBLE THREAT; OR
  • THE PLATFORM WILL MEET EVERY USER'S EXPECTATIONS.

NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.

54. JOYRIDE'S ROLE DOES NOT CREATE A WARRANTY OF VEHICLE CONDITION

JoyRide's approval, inspection, listing, verification, or publication of a Vehicle does not constitute a warranty that the Vehicle:

  • is safe;
  • is mechanically sound;
  • is roadworthy;
  • is free from defects;
  • is accurately represented;
  • has never been damaged;
  • has never been in an accident;
  • is free of recalls; or
  • is appropriate for a particular purpose.

55. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOYRIDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:

  • USE OF THE PLATFORM;
  • USE OF A VEHICLE;
  • A RESERVATION;
  • A CANCELLATION;
  • VEHICLE DAMAGE;
  • LOSS OF PROPERTY;
  • PERSONAL PROPERTY LOSS;
  • LOSS OF PROFITS;
  • LOSS OF BUSINESS;
  • LOSS OF DATA;
  • LOSS OF REVENUE;
  • USER CONDUCT;
  • HOST CONDUCT;
  • GUEST CONDUCT;
  • THIRD-PARTY CONDUCT; OR
  • OTHER PLATFORM-RELATED ACTIVITY,

EXCEPT TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOYRIDE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO JOYRIDE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. $500.

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

56. NO LIMITATION OF JOYRIDE'S OWN STATUTORY RESPONSIBILITIES

Nothing in these Terms is intended to eliminate liability that applicable law prohibits JoyRide from excluding or limiting.

In particular, applicable Georgia law provides that a peer-to-peer car-sharing program remains responsible for its own acts or omissions that result in injury to a person through use of a shared vehicle.

57. RELEASE

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE JOYRIDE FROM CLAIMS ARISING FROM THE ACTS OR OMISSIONS OF OTHER USERS, INCLUDING HOSTS AND GUESTS, EXCEPT TO THE EXTENT THE CLAIM RESULTS FROM JOYRIDE'S OWN ACTION OR OMISSION FOR WHICH JOYRIDE IS LEGALLY RESPONSIBLE.

YOU ACKNOWLEDGE THAT VEHICLE USE INVOLVES INHERENT RISKS, INCLUDING COLLISION, PROPERTY DAMAGE, PERSONAL INJURY, DEATH, THEFT, MECHANICAL FAILURE, WEATHER CONDITIONS, ROAD CONDITIONS, AND THIRD-PARTY CONDUCT.

NOTHING IN THIS SECTION WAIVES RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

58. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless JoyRide and its officers, directors, employees, agents, affiliates, contractors, insurers, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • your breach of these Terms;
  • your unlawful conduct;
  • your misuse of a Vehicle;
  • unauthorized use;
  • unauthorized drivers;
  • fraud;
  • intentional misconduct;
  • damage caused by you;
  • violation of another person's rights;
  • User Content;
  • violation of law;
  • prohibited Vehicle use;
  • failure to return a Vehicle;
  • inaccurate information; or
  • your violation of the rights of another person.

This indemnification does not apply to the extent caused by JoyRide's own misconduct where applicable law prohibits indemnification.

59. JOYRIDE'S RIGHT TO SEEK INDEMNIFICATION

You expressly acknowledge that JoyRide may seek indemnification from a Host or Guest for economic losses resulting from that person's breach of these Terms.

Georgia's peer-to-peer car-sharing statute specifically permits a car-sharing program to contract for indemnification from an owner or driver for economic loss resulting from breach of the car-sharing agreement.

60. FORCE MAJEURE

JoyRide will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • hurricanes;
  • tornadoes;
  • floods;
  • fires;
  • earthquakes;
  • severe weather;
  • war;
  • terrorism;
  • civil unrest;
  • governmental action;
  • public-health emergencies;
  • telecommunications failures;
  • internet outages;
  • payment-network failures;
  • labor disputes;
  • cyber incidents;
  • power failures;
  • transportation disruptions; or
  • other extraordinary events.

61. DISPUTE RESOLUTION

61.1 Informal Resolution First

Before initiating arbitration or litigation, the complaining party must provide JoyRide with written notice describing:

  1. the nature of the dispute;
  2. the facts supporting the claim;
  3. the relief requested; and
  4. the claimant's contact information.

The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice.

Notice to JoyRide may be submitted through JoyRide's designated customer-support or legal-notice channel identified on the Platform.

62. AGREEMENT TO ARBITRATE

Except as expressly provided below, you and JoyRide agree that disputes arising out of or relating to:

  • these Terms;
  • the Platform;
  • a Reservation;
  • a Host transaction;
  • a Guest transaction;
  • payments;
  • Vehicle use;
  • protection products;
  • cancellation;
  • damage claims;
  • Account suspension;
  • privacy matters to the extent legally arbitrable;
  • advertising;
  • User Content; or
  • the relationship between you and JoyRide

will be resolved through individual, binding arbitration, rather than in court.

The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision to the fullest extent permitted by law.

Federal law generally recognizes written arbitration provisions in contracts involving interstate commerce as enforceable, subject to applicable legal defenses.

63. ARBITRATION ADMINISTRATOR

Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and Mediation Procedures applicable to the dispute.

The current AAA Consumer Rules are available through AAA.

The parties agree that the applicable rules in effect when the arbitration is commenced will generally govern, except where these Terms expressly provide otherwise and to the extent permitted by law.

AAA currently maintains separate consumer and mass-arbitration procedures.

64. ARBITRATION LOCATION

Unless otherwise required by applicable law or agreed by the parties, arbitration will occur remotely by telephone, video conference, or documents-only submission.

If an in-person hearing is required, it will take place in the county where the Guest resides or another location reasonably convenient to the consumer, unless applicable law requires otherwise.

For non-consumer commercial disputes, the arbitration may occur in Georgia.

65. ARBITRATOR AUTHORITY

The arbitrator will have authority to award the same individual remedies that a court could award under applicable law, subject to these Terms and applicable law.

The arbitrator may not:

  • award relief to persons who are not parties to the arbitration;
  • combine claims belonging to different people;
  • conduct a class arbitration; or
  • issue relief inconsistent with the individual nature of the arbitration agreement.

66. CLASS-ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND JOYRIDE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PARTICIPANT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

UNLESS OTHERWISE REQUIRED BY LAW, THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MULTIPLE PEOPLE OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

67. JURY-TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND JOYRIDE KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO THIS AGREEMENT.

68. SMALL-CLAIMS COURT

Either party may bring an individual claim in an appropriate small-claims court if:

  1. the claim qualifies for that court;
  2. the claim remains an individual claim;
  3. the claimant does not seek class or representative relief; and
  4. the claimant's filing is otherwise permitted by law.

If a claim is transferred, appealed, removed, or otherwise becomes ineligible for small-claims treatment, either party may require arbitration consistent with these Terms where legally permitted.

69. CLAIMS THAT CANNOT BE ARBITRATED

Nothing in these Terms requires arbitration where applicable law prohibits the parties from agreeing to arbitrate the particular claim.

Nothing prevents either party from seeking temporary, preliminary, or emergency injunctive relief where necessary to protect intellectual-property rights, confidential information, security systems, or other rights for which such relief is legally available.

Nothing in these Terms prevents a party from contacting or cooperating with governmental regulators or law enforcement.

70. MASS ARBITRATION

If substantially similar arbitration demands are filed against JoyRide by 25 or more individuals represented by the same or coordinated counsel within a 180-day period, the parties agree, to the extent permitted by law, to cooperate with the AAA's then-current Mass Arbitration Supplementary Rules.

The parties agree that the AAA's applicable mass-arbitration procedures may be used to efficiently address filing, batching, bellwether proceedings, mediator involvement, and other administrative matters.

Individual claims remain individual claims.

No mass procedure converts the claims into a class action.

71. ARBITRATION FEES

For consumer arbitration, JoyRide will comply with applicable AAA consumer fee rules and applicable law.

JoyRide will not require a consumer to pay arbitration fees exceeding amounts permitted under applicable law or the applicable AAA Consumer Arbitration Rules.

Where required by the applicable AAA rules, JoyRide will pay applicable administrative or arbitrator fees beyond the consumer's permitted share.

AAA's current consumer rules provide fee protections for consumers and limit consumer administrative costs.

72. ARBITRATION OPT-OUT

YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER BY SENDING JOYRIDE A WRITTEN OPT-OUT NOTICE WITHIN 30 DAYS AFTER FIRST ACCEPTING THESE TERMS.

The notice must include:

  • your full legal name;
  • email address associated with your JoyRide Account;
  • mailing address;
  • statement that you are opting out of the arbitration agreement and class-action waiver; and
  • date.

The notice must be submitted through the legal-notice method JoyRide designates on the Platform.

An opt-out notice affects only the arbitration and class-action provisions and does not invalidate the remainder of these Terms.

73. SEVERABILITY OF ARBITRATION PROVISIONS

If any portion of the arbitration agreement or class-action waiver is determined unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.

If the class-action waiver is found unenforceable as to a particular claim, that claim will not be arbitrated unless the parties separately agree or arbitration is otherwise required by applicable law.

74. GOVERNING LAW

Except where federal law or mandatory law of another jurisdiction applies, these Terms and the relationship between you and JoyRide will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Georgia will be the governing-law jurisdiction for the contractual relationship between JoyRide and its users to the maximum extent legally permissible.

75. VENUE FOR NON-ARBITRABLE MATTERS

For matters that are legally permitted to proceed in court and are not subject to arbitration, the parties agree, to the maximum extent permitted by law, that appropriate courts located in Georgia will be the forum.

Nothing in this section prevents a consumer from asserting rights in a court where applicable law grants a non-waivable right to do so.

76. ELECTRONIC CONTRACTING

You agree that electronic acceptance of these Terms may create a legally binding agreement.

By clicking a button or taking another affirmative action that indicates acceptance, you agree that your electronic acceptance constitutes your agreement to these Terms.

JoyRide will use reasonable measures to make the existence and material terms of this Agreement available to you before acceptance.

Georgia law generally recognizes electronic records, electronic signatures, and contracts formed through electronic records where the statutory requirements are satisfied.

77. CONSENT FLOW

Where JoyRide requires acceptance of these Terms, JoyRide may present an affirmative checkbox, button, or comparable mechanism.

You should not accept the Terms unless you have had an opportunity to review them.

JoyRide may maintain records of:

  • the version of the Terms accepted;
  • date and time;
  • Account information;
  • IP address;
  • device information;
  • acceptance method; and
  • other information necessary to establish acceptance.

78. ELECTRONIC COMMUNICATIONS

You consent to receiving electronic communications from JoyRide concerning:

  • Reservations;
  • payments;
  • Account activity;
  • verification;
  • safety;
  • claims;
  • cancellations;
  • legal notices;
  • policy changes;
  • customer support;
  • security;
  • fraud prevention; and
  • other Platform matters.

SMS communications may be subject to separate consent requirements.

79. SMS COMMUNICATIONS

Where you opt into SMS communications, JoyRide may send:

  • verification codes;
  • Reservation updates;
  • security alerts;
  • customer-support messages;
  • transaction notifications;
  • Vehicle-related notifications; and
  • other operational communications.

Message and data rates may apply.

You may opt out of non-essential SMS communications through applicable instructions, although opting out of certain operational communications may affect your ability to use particular Platform functions.

80. ACCESSIBILITY

JoyRide intends to provide reasonable accessibility for its digital services consistent with applicable law.

Users who encounter an accessibility barrier may contact JoyRide through the Platform's support channels.

81. DISCRIMINATION AND FAIR USE

JoyRide prohibits unlawful discrimination.

Hosts and Guests must comply with applicable federal, state, and local anti-discrimination laws.

JoyRide may take action against Accounts involved in unlawful discrimination, harassment, or other prohibited conduct.

82. SAFETY REPORTS

Users should promptly report safety concerns.

JoyRide may suspend a Vehicle, Host, Guest, or Reservation while investigating a safety concern.

83. LAW ENFORCEMENT

JoyRide may cooperate with law enforcement when legally required or permitted.

This may include providing information concerning:

  • Accounts;
  • Vehicles;
  • Reservations;
  • identity;
  • communications;
  • payment transactions;
  • location;
  • fraud;
  • theft;
  • accidents; or
  • other relevant information.

84. GOVERNMENT REQUESTS

JoyRide may respond to subpoenas, warrants, court orders, regulatory requests, and other lawful governmental demands.

85. RECORD RETENTION

JoyRide may retain records concerning vehicle use, transactions, payments, Reservations, identity verification, claims, and other Platform activity for as long as reasonably necessary to:

  • operate the Platform;
  • comply with law;
  • investigate claims;
  • resolve disputes;
  • prevent fraud;
  • satisfy insurance requirements;
  • satisfy tax requirements;
  • protect legal rights; or
  • fulfill other legitimate business purposes.

Georgia law specifically requires peer-to-peer car-sharing programs to collect and verify specified vehicle-use records and retain them for at least the applicable personal-injury statute-of-limitations period.

86. INSURANCE CLAIM RECORDS

JoyRide may provide applicable records concerning vehicle use, fees, and other transaction information to:

  • Hosts;
  • Host insurers;
  • Guest insurers;
  • claims administrators;
  • governmental authorities; or
  • other authorized parties

where required or permitted to facilitate an insurance investigation or claim.

87. NO Vicarious Liability

To the maximum extent permitted by applicable law, JoyRide does not assume liability solely because it operates the Platform or facilitates a Vehicle transaction.

Nothing in this provision limits JoyRide's liability for its own acts or omissions where liability cannot lawfully be excluded.

Georgia law expressly addresses exemption from vicarious liability for peer-to-peer car-sharing programs and vehicle owners in circumstances covered by the statute.

88. HOST-TO-GUEST RELATIONSHIP

JoyRide is not a party to every aspect of the Host-Guest relationship.

Hosts and Guests are independently responsible for their own obligations.

JoyRide may facilitate the relationship without becoming the owner, employer, agent, insurer, or operator of a Vehicle.

89. INDEPENDENT PARTIES

Hosts and Guests are independent participants in the JoyRide marketplace.

Nothing in these Terms creates:

  • employment;
  • partnership;
  • joint venture;
  • franchise;
  • agency;
  • fiduciary relationship; or
  • other similar relationship

between JoyRide and a Host or Guest.

90. HOST BUSINESS ACTIVITIES

Hosts are responsible for determining whether their use of JoyRide creates:

  • business income;
  • licensing requirements;
  • tax obligations;
  • insurance requirements;
  • local regulatory requirements;
  • zoning issues;
  • financing restrictions;
  • lease restrictions; or
  • other legal obligations.

JoyRide does not provide tax, accounting, insurance, or legal advice.

91. THIRD-PARTY CLAIMS

A third party may bring claims relating to a Vehicle or Trip.

JoyRide may assist with claims but does not guarantee any particular outcome.

Insurance claims will be handled according to the applicable insurance policy.

92. INSURANCE COOPERATION

Hosts and Guests must cooperate with insurers.

This may include:

  • providing statements;
  • providing photographs;
  • providing records;
  • providing contact information;
  • attending inspections;
  • providing police reports;
  • participating in claims investigations; and
  • providing other reasonably necessary information.

93. SUBROGATION

To the extent permitted by applicable insurance policies and law, insurers may exercise applicable subrogation rights.

Nothing in these Terms is intended to waive or interfere with an insurer's lawful rights.

94. VEHICLE LIENS AND FINANCING

Hosts are responsible for notifying JoyRide of applicable liens or financing arrangements where required.

A Host must ensure that listing a Vehicle through JoyRide does not violate a financing agreement or lienholder restriction.

95. VEHICLE REGISTRATION

Hosts must maintain valid registration and comply with applicable inspection and registration requirements.

JoyRide may suspend a Vehicle if registration appears expired, invalid, fraudulent, or otherwise noncompliant.

96. COMMERCIAL VEHICLES

Commercial vehicles are not eligible unless JoyRide expressly approves them.

A Host must not misclassify a commercial Vehicle as a personal Vehicle.

97. INTERNATIONAL TRAVEL

Guests may not take a Vehicle outside the United States without prior written authorization from JoyRide and the Host where required.

Cross-border use may be prohibited by:

  • insurance;
  • registration;
  • financing;
  • Vehicle restrictions;
  • applicable law; or
  • Host restrictions.

98. STATE-SPECIFIC REQUIREMENTS

JoyRide may establish state-specific requirements where required by applicable law.

Where mandatory state law provides rights or protections that conflict with these Terms, the mandatory law controls.

Nothing in these Terms is intended to waive a non-waivable consumer right.

99. GEORGIA-SPECIFIC CAR-SHARING DISCLOSURES

For car-sharing transactions governed by Georgia law:

  1. JoyRide may seek indemnification from Hosts or Guests for economic loss caused by breach of the car-sharing agreement.
  2. A Host's personal automobile liability policy may not defend or indemnify claims brought by JoyRide.
  3. JoyRide's applicable car-sharing coverage is generally tied to the applicable Car-Sharing Period.
  4. Coverage may not apply to unauthorized drivers or post-Reservation use.
  5. Applicable daily rates, fees, and protection costs will be disclosed to users.
  6. A Host's personal automobile policy may exclude Vehicle sharing.
  7. JoyRide will provide or facilitate access to an emergency contact process capable of addressing roadside-assistance and customer-service needs.
  8. Any requirement for Guests to maintain personal automobile insurance will be disclosed where applicable.

These disclosures are intended to address Georgia's statutory peer-to-peer car-sharing requirements.

100. ROADSIDE ASSISTANCE

JoyRide may provide or facilitate roadside assistance during applicable Reservations.

Roadside assistance may include services such as:

  • towing;
  • jump-starts;
  • lockout assistance;
  • tire assistance;
  • fuel delivery;
  • charging assistance; or
  • other services.

107. RESERVATION-SPECIFIC TERMS

Certain Reservations may contain additional terms.

If Reservation-specific terms conflict with these Terms, the Reservation-specific terms control only with respect to the specific Reservation and only to the extent permitted by law.

Insurance policies and mandatory law control over conflicting contractual provisions concerning insurance or non-waivable legal rights.

JoyRide may assign these Terms in connection with:

  • merger;
  • acquisition;

110. SEVERABILITY

If a provision of these Terms is determined invalid or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
